REALM CLICKS PRIVATE LIMITED (CIN – U43214RJ2024PTC095613) (Company), a private limited company incorporated under the Companies Act, 2013, having its registered office at Plot No. 164, IIIrd Floor, Rathore Nagar, Queens Road, Vaishali Nagar, Jaipur, 302021. (Raj.) (hereinafter referred to as the “Platform”), which expression will, unless it be repugnant to the context or meaning thereof will mean and include its successors, affiliates and permitted assigns, of the ONE PART”;

Effective Date: Upon User's acceptance of this Agreement by clicking "I Agree" on Realm Clicks' registration page.

1. Agreement to Terms

By clicking the "I Agree" checkbox, the User confirms their agreement to the terms and conditions outlined in this Digital User Agreement ("Agreement") and agrees to comply with all provisions while accessing and using the services of Realm Clicks.

2. Services Provided by the Company

Realm Clicks provides a digital platform where Users can generate income by engaging with and referring advertisements through a pay-per-click model. This includes:

• Viewing and clicking on advertisements.
• Referring advertisements and new users to the platform.
• Earning revenue through ad interactions as per the Company’s referral-based income model.

3. User Registration and Account Setup

1. Eligibility: To register and participate, the User must be at least 18 years old and capable of entering into a binding agreement.
2. Registration Process: By providing accurate information, agreeing to this Agreement, and completing the registration, the User will receive access to their Realm Clicks account.

4. User Obligations

1. Compliance: The User agrees to adhere to all applicable laws and Company policies in their interactions with the platform.
2. Prohibited Actions: The User shall not engage in:

• Fraudulent or misleading behaviour, including false referrals.
• Multiple accounts or any manipulative actions to increase clicks or referrals artificially.
• Any actions that could damage the Company’s reputation or platform integrity
• Account Security: Users are responsible for maintaining the security of their account credentials and agree to notify the Company of any unauthorized access.

5. Earnings and Payouts

Earnings Calculation: The User's earnings are based on valid ad interactions (clicks and referrals) in compliance with Company rules.

1. Payout Terms: The Company will process payouts for eligible earnings monthly, subject to any minimum payout thresholds specified on the platform.
2. Tax Compliance: The User is responsible for reporting and paying any applicable taxes on earnings from the platform.

6. Referral Program

1. The User may earn additional rewards by referring new users to the platform. The Company provides referral links or codes, which the User must use as per Company instructions.
2. The Company reserves the right to withhold referral rewards if referrals are found to be non-compliant or fraudulent.

7. Termination of User Account

1. Voluntary Termination: The User may request account termination at any time.
2. Involuntary Termination: The Company reserves the right to suspend or terminate the User’s account, or withhold earnings, in cases of suspected fraud, violation of this Agreement, or misuse of the platform.
3. Effect of Termination: Upon termination, the User will lose access to their account and any potential or accrued earnings not yet disbursed, subject to Company’s discretion in cases of policy violation.

8. User-Indemnified Liability

The User agrees to indemnify, defend, and hold harmless Realm Clicks, its affiliates, and their respective officers, directors, employees, and agents from and against all claims, losses, damages, liabilities, and expenses (including attorney fees) arising out of or related to:

• Any breach by the User of this Agreement or applicable laws.
• Misuse or fraudulent activities by the User.
• Actions that result in damage or loss to the Company, its partners, or other platform Users.
• The User further agrees to assume full liability for any damages, claims, or losses resulting from their actions on the platform

9. Modifications to Agreement

Realm Clicks reserves the right to modify this Agreement at any time. The Company will notify Users of significant changes via email or platform notifications, and continued use of the platform following such updates constitutes acceptance of the modified Agreement.

10. Limitation of Liability

Realm Clicks shall not be liable for any indirect, incidental, special, or consequential damages arising from the User’s participation in the platform, including lost earnings or reputation damage.

11. Dispute Resolution

In case of disputes, both parties agree to attempt resolution through good-faith negotiations. Unresolved Disputes / Claim arising out of this Agreement are subject to Arbitration and Jurisdiction of Courts of Jaipur, only.

12. Acknowledgment and Acceptance

By clicking “I Agree” and registering an account, the User acknowledges that they have read, understood, and agreed to abide by this Agreement, and consent to its terms for all interactions with Realm Clicks.
